Terms of use

Welcome to Wave. These Terms of Service ("Terms") govern your access to and use of waveletsocial.co.ke, app.waveletsocial.co.ke, and related services (the "Platform"), operated by Wave ("we", "us", "our"), based in Nairobi, Kenya.
By creating an account or using Wave, you agree to these Terms. If you do not agree, do not use the Platform.
1. Who Can Use Wave
You may use Wave only if:
You are at least 18 years old
You have the legal capacity to enter into a binding contract
You are not barred from using the Platform under the laws of Kenya or your jurisdiction
If you are using Wave on behalf of a company, you have the authority to bind that company to these Terms
We reserve the right to refuse service, suspend, or terminate accounts at our discretion, particularly where we suspect fraud, abuse, or breach of these Terms.
2. Account Registration
You must provide accurate, complete, and current information when registering. You are responsible for:
Keeping your password confidential
All activity that occurs under your account
Notifying us immediately of any unauthorized access
If you connect a crypto wallet, you are solely responsible for securing your private keys and seed phrase. Wave cannot recover lost wallets, reverse blockchain transactions, or retrieve funds sent to incorrect addresses.
3. How Wave Works
Wave is a platform that connects brands with creators (influencers) for marketing campaigns and facilitates payouts between them.
Brands create campaigns, fund them, and approve deliverables.
Creators accept campaigns, submit deliverables, and receive payouts.
Wave provides the infrastructure — including escrow via Paystack or smart contracts — to ensure payouts are released when deliverables are approved.
Wave is not a party to any agreement between a brand and a creator. We facilitate the transaction but the commercial relationship (deliverables, deadlines, creative direction, usage rights) is between the brand and the creator.
4. Fees
Wave may charge service fees on campaign funding, payouts, or both. Current fees are displayed at the time of the transaction and on our Pricing page.
Paystack processing fees are passed through to the funding party.
Blockchain gas fees (for crypto transactions) are paid by the party initiating the transaction.
All fees are non-refundable except where required by law or explicitly stated in these Terms.
We may change our fees with at least 14 days' notice.
5. Campaigns and Payouts
5.1 Creating a campaign
Brands are responsible for:
Accurately describing deliverables, deadlines, and payment terms
Funding the campaign in full before it goes live
Reviewing and approving deliverables fairly and promptly (within the timeframe set in the campaign, or 7 days if unspecified)
5.2 Accepting a campaign
Creators are responsible for:
Delivering the agreed content on time and to the agreed standard
Ensuring the content complies with applicable laws and platform rules (e.g., FTC, ASA, relevant Kenyan regulations on advertising disclosures)
Using their own original work or properly licensed material
5.3 Payout release
Funds are released to the creator when the brand approves the deliverable.
If the brand does not approve or reject within the approval window, funds may be auto-released as per the campaign's stated terms.
Disputes are handled under Section 9.
5.4 Crypto payouts
If you opt for stablecoin payouts:
Transactions occur on-chain and are irreversible
You are responsible for providing the correct wallet address
You are responsible for any applicable taxes on received cryptocurrency
Wave is not liable for network congestion, gas price fluctuations, or blockchain-level issues
6. Acceptable Use
You agree not to:
Use Wave for any illegal activity or to violate anyone's rights
Post or transmit content that is fraudulent, misleading, defamatory, obscene, or infringes intellectual property
Impersonate another person or misrepresent your identity, audience, or affiliation
Artificially inflate follower counts, engagement metrics, or fake deliverables
Circumvent Wave's payment system (e.g., agreeing to pay creators off-platform after matching on Wave)
Use the Platform to launder money or finance terrorism
Scrape, hack, reverse-engineer, or disrupt the Platform
Upload malware, spam, or automated scripts
Use Wave to promote regulated products (pharmaceuticals, firearms, gambling) without appropriate licensing and disclosures
Violation may result in immediate termination, forfeiture of funds, and reporting to authorities where appropriate.
7. Content and Intellectual Property
7.1 Your content
You retain ownership of content you upload (profile images, deliverables, campaign briefs, etc.). By uploading, you grant Wave a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content as necessary to operate the Platform.
7.2 Deliverables
Rights to campaign deliverables (usage, duration, exclusivity) are governed by the individual agreement between brand and creator as specified in the campaign. Wave does not acquire ownership of these deliverables.
7.3 Wave's IP
The Wave name, logo, design, code, and content are owned by Wave. You may not copy, modify, or use them without our written permission.
8. Verification and Compliance
To comply with financial regulations, we may require:
Identity verification (KYC) for users above certain transaction thresholds
Business registration documents from brands
Proof of social media account ownership from creators
Tax information where required by the Kenya Revenue Authority or equivalent
Failure to provide requested documentation may result in suspension of payouts or account closure.
9. Disputes Between Users
If a brand and creator disagree on whether a deliverable meets the campaign requirements:
The parties should first attempt to resolve the issue directly through Wave's messaging.
If unresolved within 7 days, either party may escalate to Wave's support team by emailing hello@waveletsocial.co.ke.
Wave will review the campaign brief, submitted deliverables, and communications, and make a good-faith determination within 14 days. This determination may include full release, partial release, or refund.
Wave's determination is final for the purposes of releasing funds held in escrow but does not prevent the parties from pursuing their own legal remedies.
Crypto transactions that have already been executed on-chain cannot be reversed. Disputes over already-released crypto payouts must be resolved between the parties directly.
10. Termination
10.1 By you
You may close your account at any time from your account settings. Pending campaigns must be completed or cancelled first.
10.2 By us
We may suspend or terminate your account immediately if you:
Breach these Terms
Engage in fraudulent or illegal activity
Create risk or legal exposure for Wave or other users
Fail verification or provide false information
Upon termination, any undisputed funds owed to you will be released per normal processes. Wave reserves the right to withhold funds where there is suspected fraud, chargebacks, or legal obligation.
11. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.
We do not guarantee:
Continuous, uninterrupted, or error-free operation
That deliverables from creators will meet a brand's subjective expectations
That campaigns will produce specific marketing results
The stability, value, or behavior of any cryptocurrency or blockchain network
That Paystack, blockchain infrastructure, or other third-party services will remain available
12. Limitation of Liability
To the maximum extent permitted by law, Wave, its officers, employees, and partners shall not be liable for:
Indirect, incidental, consequential, or punitive damages
Loss of profits, data, goodwill, or business opportunity
Damages arising from disputes between brands and creators
Losses resulting from blockchain network failures, smart contract bugs, or wallet compromise
Losses resulting from third-party services (Paystack, hosting providers, etc.)
Our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees you paid to Wave in the 6 months preceding the claim, or (b) KES 10,000.
Nothing in these Terms limits liability for fraud, gross negligence, or anything that cannot be limited under Kenyan law.
13. Indemnification
You agree to indemnify and hold Wave harmless from any claims, damages, losses, or expenses (including legal fees) arising out of:
Your use of the Platform
Your breach of these Terms
Your violation of any law or third-party right
Content you upload or transmit
Disputes with other users
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or Platform notification at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at hello@waveletsocial.co.ke. If unresolved within 30 days, either party may proceed to court or, by mutual agreement, to arbitration under the Nairobi Centre for International Arbitration (NCIA) rules.
16. General
Severability: If any part of these Terms is found unenforceable, the rest remains in effect.
No waiver: Our failure to enforce a right does not waive that right.
Assignment: You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
Entire agreement: These Terms, along with the Privacy Policy and any campaign-specific terms, constitute the entire agreement between you and Wave.
